What it actually is

A physical package — typically a branded binder, membership or stock certificates, and an embossing seal — for keeping company records together.

Do you need it?

No state requires you to buy one. You are generally required to keep certain company records; you are not required to keep them in a leather binder with your name on the spine. Some banks and older institutions still like to see a seal, which is the only practical argument for it.

1. Keep your formation documents, operating agreement, EIN notice, and meeting or consent records together.
2. Digital copies with a backup beat a binder you left in storage during a PCS.

Cost: Whatever a folder costs, or nothing if you keep records digitally.
